Terms of Service
The rules for creating an account, purchasing a subscription, and using our independent TOEFL preparation service.

1. About These Terms
These Terms of Service ("Terms") are a binding agreement between you and Dallakyan Tigran Suren (Դալլաքյան Տիգրան Սուրենի), a sole proprietor registered in the Republic of Armenia under taxpayer identification number (TIN) 73046309, with registered business address at 29 Gyulbenkyan Street, Apt. 13, Yerevan, Armenia ("Operator," "we," "us," or "our"). They govern your access to and use of https://www.yourtoeflprep.com, your account, and our online practice and mock examination services (together, the "Service").
By creating an account, purchasing access, clicking to accept these Terms, or using the Service, you agree to these Terms, our Refund Policy, and our Privacy Policy. If you do not agree, do not use the Service.
If you purchase through Paddle, Paddle's buyer terms also govern the payment transaction between you and the applicable Paddle entity. These Terms separately govern your license to and use of the Service supplied by us.
2. Definitions
"Account" means the personal user account through which you access the Service.
"Content" means the Service and all materials made available through it, including practice questions, passages, prompts, recordings, interfaces, scoring methods, reports, explanations, feedback, graphics, software, and databases.
"Exam" means an online practice or mock examination, section, exercise, or related assessment offered through the Service.
"Order" means a purchase of an Exam, credit, package, subscription, or other paid access to the Service.
"Student Content" means answers, essays, recordings, messages, and other material that you submit through the Service.
"User" means any visitor, account holder, purchaser, student, or other person who accesses or uses the Service.
3. Eligibility and Authority
You must be at least 16 years old to create an Account. If you are under the age of legal majority where you live, a parent or legal guardian must review and accept these Terms for you and supervise your use. The parent or guardian is responsible for your activity and any purchases made for you.
You may use the Service only if you can lawfully enter into this agreement and are not prohibited from receiving the Service under applicable law. If you use the Service for a school, company, or other organization, you confirm that you have authority to bind that organization; in that case, "you" includes the organization.
4. Accounts and Security
You must provide accurate, current, and complete registration information and keep it updated. Each Account is personal to one student unless we expressly approve a multi-user institutional arrangement in writing.
You must keep your password and access credentials confidential, use reasonable security measures, and promptly notify us at support@yourtoeflprep.com if you suspect unauthorized access. You are responsible for activity on your Account to the extent permitted by law, except where the activity results from our breach of duty.
We may require reasonable verification of identity, age, payment status, or account ownership. We may refuse a registration, username, or account transfer where reasonably necessary to protect the Service, other users, or legal compliance.
5. The Service and TOEFL Trademark Notice
The Service provides independently developed online TOEFL® test preparation, practice, and mock examinations, together with practice scores and feedback. The Service does not register you for, administer, or replace an official TOEFL test.
Independent-provider notice. Dallakyan Tigran Suren is an independent test-preparation provider. It is not affiliated with, sponsored by, endorsed by, or approved by Educational Testing Service ("ETS"). TOEFL® and TOEFL iBT® are registered trademarks of ETS. Our use of those marks is solely to identify the examination for which our independent preparation services are intended. ETS does not review, validate, or guarantee our Content, scoring, or results.
We do not reproduce official ETS examination questions unless we have obtained the necessary authorization. Our Exams and scoring methods are independently created and may differ from the format, difficulty, scoring, timing, or content of an official examination.
6. Orders, Prices, Payment, and Taxes
Prices, currencies, included features, access periods, and any usage limits are shown before purchase. International prices are generally displayed in United States dollars (USD). Local payment options may display Armenian drams (AMD) or another currency. Your bank or card issuer may apply exchange rates or fees that we do not control.
For transactions routed through Paddle, Paddle.com Inc. or another Paddle group company identified at checkout acts as the Merchant of Record, authorized reseller, and seller for payment purposes. Paddle collects the payment, issues the receipt or invoice, and calculates, collects, and remits applicable sales taxes, VAT, GST, or similar transaction taxes. Paddle or a Paddle-related descriptor may appear on your card or bank statement. The exact Paddle entity, price, currency, taxes, and statement descriptor will be shown in the checkout or transaction documents.
For local card transactions routed through an Armenian bank gateway, including ACBA or the ArCa network, Dallakyan Tigran Suren is the seller unless the checkout states otherwise. The bank, ArCa, or another processing descriptor may appear on your statement. We may add taxes or charges that applicable law requires us to collect.
You authorize the relevant payment provider to charge the payment method you select for the total shown at checkout. You must use a payment method that you are legally authorized to use. An Order is complete only after payment authorization and confirmation. We may cancel or withhold access if payment is declined, reversed, suspected to be fraudulent, or made in error.
At checkout, you may choose fixed-term Premium access that does not renew or select automatic renewal for the displayed billing interval. The checkout will show the access period, price, currency, renewal status, renewal terms, and cancellation method before purchase. If you select automatic renewal, you authorize the relevant payment provider to charge each recurring payment until cancellation takes effect. You may cancel at any time through the payment provider's buyer portal or the method stated in your receipt; cancellation normally stops future renewals and access continues through the paid billing period, subject to applicable law and the provider's terms.
Discounts, coupons, and promotional offers may have additional conditions and may be changed or withdrawn before purchase. Price changes do not affect a completed one-time Order. Our Refund Policy governs cancellations and refunds.
7. Access Periods and Delivery
The access period and number of permitted attempts for each Order are shown on the product page or at checkout. Access begins when the Order is confirmed or on another date expressly stated in the offer.
An Exam is considered "started" when you open its first secured question, begin its timer, download or stream protected Exam Content, or otherwise receive a material part of that Exam, as recorded by our systems. Merely viewing a public description or your order receipt does not start an Exam.
You are responsible for compatible equipment, supported software, a stable internet connection, and an environment suitable for completing the Exam. We may publish technical requirements and exam-day instructions, which form part of these Terms.
8. Personal, Limited License
Subject to these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access the purchased portion of the Service during the stated access period solely for your own private study and practice.
No ownership rights are transferred to you. You may not use the Content for teaching, publication, benchmarking, dataset creation, model training, commercial testing, or any other purpose unless we expressly authorize it in writing.
9. Intellectual Property
The Service and Content are owned by or licensed to Dallakyan Tigran Suren and are protected by copyright, trademark, database-right, trade-secret, and other intellectual-property laws. This includes the selection, structure, wording, scoring logic, explanations, and presentation of our independently created exam materials.
Our names, logos, and product names are our marks or those of our licensors. ETS marks belong to ETS. Nothing in these Terms grants a right to use any mark except for truthful reference as permitted by law.
If you believe material on the Service infringes your intellectual-property rights, email support@yourtoeflprep.com with your contact details, identification of the protected work, the location of the material, the basis of your claim, and a statement that your notice is accurate.
10. Student Content and Feedback
You retain any rights you have in your original Student Content. You grant us and our service providers a worldwide, non-exclusive license to host, store, reproduce, transmit, analyze, score, adapt, and display Student Content only as reasonably necessary to operate, secure, support, and improve the Service; provide scores and feedback; comply with law; and enforce these Terms. This license lasts for as long as necessary for those purposes and our lawful retention periods.
You confirm that your Student Content is yours or that you have permission to submit it, and that it does not violate law or another person's rights. Do not include unnecessary sensitive personal information, confidential third-party information, or unlawful content in an Exam response.
If you voluntarily give us suggestions or product feedback, we may use it without restriction or payment, but we will not publicly identify you without permission.
11. Exam Conditions and Integrity
You must follow the instructions, timing rules, identity checks, browser requirements, and permitted-material rules presented for an Exam. We may use technical and behavioral signals to protect exam integrity and detect account sharing, automated activity, copying, or other misuse.
Practice integrity matters even though these are not official examinations. We may invalidate a practice result, restrict feedback, suspend access, or investigate where we reasonably believe an Exam was completed through prohibited assistance, impersonation, automation, or other manipulation.
Unless we expressly state otherwise for a particular feature, you may not receive help from another person, use unauthorized reference materials, submit AI-generated answers, or use automated tools while completing a timed Exam.
12. Prohibited Conduct
You must not:
- share, sell, rent, transfer, or permit another person to use your Account or purchased access;
- copy, record, photograph, screenshot, download, reproduce, publish, distribute, transmit, display, translate, adapt, sell, license, or create derivative works from protected Content, except for a function we expressly provide;
- disclose Exam questions, prompts, answer choices, passages, recordings, scoring keys, or explanations to another person or on any website, forum, messaging service, repository, or social network;
- resell the Service or use it to provide a competing test-preparation, tutoring, question-bank, or assessment service;
- scrape, crawl, harvest, index, systematically extract, or use bots, scripts, browser automation, or similar tools to access the Service or collect data;
- reverse engineer, decompile, disassemble, probe, bypass, disable, or interfere with security, access controls, timers, rate limits, or technical restrictions;
- cheat, impersonate another person, arrange for another person or system to take an Exam, or falsify an identity, result, certificate, or report;
- upload malware or harmful code, overload or disrupt the Service, or attempt unauthorized access to any account, system, or network;
- use the Service or Student Content to infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
- use the Service unlawfully, fraudulently, abusively, or in a way that harms another person; or
- assist or encourage anyone to do any of the above.
13. Scores, Feedback, and No Outcome Guarantee
Scores, estimates, classifications, comments, and feedback are for educational practice only. They are not official TOEFL scores, do not come from ETS, and may not be accepted by a university, employer, immigration authority, licensing body, or other institution.
Scoring may use automated rules, statistical methods, artificial-intelligence-assisted tools, human review, or a combination of methods. Practice results can be affected by technical conditions, response quality, test familiarity, and differences between our Content and an official examination.
We do not guarantee that a practice score will match an official result, that you will achieve a particular score, admission, visa, job, scholarship, or other outcome, or that the Service will identify every weakness. You remain responsible for official registration, deadlines, preparation decisions, and verifying the requirements of relevant institutions.
If you believe a result reflects a technical or scoring error, contact support@yourtoeflprep.com within a reasonable time with the relevant Order and Exam details. We may review the result, but are not required to change a score absent an identifiable error.
14. Availability, Maintenance, and Changes
We aim to provide reliable access but do not promise uninterrupted or error-free operation. Maintenance, updates, internet conditions, security events, third-party failures, force-majeure events, or circumstances outside our reasonable control may affect availability.
We may update the Service, Content, interfaces, technical requirements, scoring methods, and features to improve quality, security, or compliance. We will not materially reduce paid access already purchased without offering a reasonable substitute, extension, or remedy where required by law.
We may discontinue a feature or the Service. If discontinuation prevents use of materially unconsumed paid access, we will provide an appropriate remedy, such as replacement access, an extension, or a proportionate refund, subject to applicable law.
15. Third-Party Services and Links
The Service may rely on or link to third-party services, including payment processors, hosting providers, analytics services, email providers, and external websites. Third-party services have their own terms and privacy practices. We are not responsible for third-party content or services except to the extent the law makes us responsible.
Paddle's buyer terms govern the transaction between you and Paddle when Paddle is the Merchant of Record. The terms of the Armenian bank, ArCa network, card issuer, or other provider may also apply to its payment service.
16. Suspension and Termination
You may stop using the Service at any time. You may request Account closure by emailing support@yourtoeflprep.com. Closure does not itself create a refund right.
We may suspend, restrict, or terminate access if we reasonably believe that you:
- materially or repeatedly breached these Terms or Exam rules;
- created a security, fraud, legal, payment, or integrity risk;
- used the Service in a way likely to harm us, another user, or a third party; or
- failed to pay a valid charge or caused it to be reversed.
Where reasonably possible and legally appropriate, we will notify you and provide an opportunity to correct a remediable breach. We may act immediately where necessary to prevent harm, preserve evidence, comply with law or a provider requirement, or investigate fraud or a security incident.
On termination, your license ends and you must stop using the Service and Content. Clauses that by their nature should survive will survive, including intellectual property, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and accrued rights. Mandatory refund or consumer rights remain unaffected.
17. Disclaimers
To the fullest extent permitted by law, the Service and Content are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and correspondence with an official examination.
Nothing in these Terms excludes an express commitment we make in writing, a warranty that cannot lawfully be excluded, or any mandatory consumer right. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
18. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable law prohibits exclusion.
To the fullest extent permitted by law, neither we nor our officers, employees, contractors, or affiliates will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, opportunity, goodwill, data, or anticipated savings, arising from the Service or these Terms, even if advised that such loss was possible.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid for the affected Service during the 12 months before the event giving rise to the claim, and (b) USD 100.
The exclusions and cap apply to all theories of liability and reflect the allocation of risk between the parties. They do not reduce any minimum remedy or liability that mandatory law requires.
19. Indemnification
If you use the Service for business purposes, or to the extent permitted by law for any User, you will indemnify and hold harmless Dallakyan Tigran Suren, its affiliates, officers, employees, and contractors from third-party claims, losses, and reasonable costs arising from your unlawful use, infringement of third-party rights, misuse or unauthorized distribution of Content, or material breach of these Terms.
This obligation does not apply to the extent a claim results from our own breach, negligence, or misconduct, and it does not impose liability on a consumer where applicable law does not permit it. We will give reasonable notice of a covered claim and allow reasonable participation in its defense.
20. Governing Law and Disputes
These Terms and non-contractual obligations arising from them are governed by the laws of the Republic of Armenia, without regard to conflict-of-law principles.
Before filing a claim, you and we will make a good-faith effort for 30 days to resolve it informally. Send a notice describing the issue and requested remedy to support@yourtoeflprep.com. We will send notices to the email associated with your Account.
If the dispute is not resolved, the courts of the Republic of Armenia, including the competent courts in Yerevan where legally permitted, will have jurisdiction. If you are a consumer, this choice does not deprive you of mandatory protections or a forum available under the non-waivable law of your country of residence.
Disputes about a Paddle payment transaction may also be governed by Paddle's buyer terms and dispute provisions. Nothing here limits a lawful complaint to a consumer-protection authority, data-protection authority, card issuer, or other competent body.
21. Changes to These Terms
We may update these Terms for legal, security, operational, or service reasons. We will post the revised Terms with a new effective date. If a change materially affects existing paid access, we will provide reasonable advance notice by email, Account notice, or another durable method where required by law.
Changes apply prospectively from their stated effective date. If you do not agree, you must stop using the Service and may close your Account. Continued use after the effective date constitutes acceptance only to the extent permitted by law. A material change requiring express consent will not apply without that consent.
22. General Terms
These Terms, the Refund Policy, the Privacy Policy, and any checkout-specific conditions form the entire agreement between you and us regarding the Service. If checkout-specific terms conflict with these Terms, the more specific terms control for that Order, subject to mandatory law.
If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign your Account or rights without our written consent. We may assign these Terms as part of a merger, reorganization, sale of business, or transfer to an affiliate, with notice where required.
Nothing creates a partnership, agency, employment, fiduciary, or joint-venture relationship. Headings are for convenience only. "Including" means "including without limitation." Electronic notices and records satisfy writing requirements to the extent permitted by law.
